Corporate Membership Agreement

1. Parties

This Corporate Membership Agreement (hereinafter referred to as the "Membership Agreement") has been concluded electronically and entered into force between the Member, who approves this Membership Agreement, its annexes forming an integral part hereof, and the terms and conditions published on the www.plastkey.com Portal in order to become a member of the Portal.


2. Definitions

Portal: The website through which PLASTKEY provides its Services, consisting of the domain name www.plastkey.com and all related sub-domains.

User: Any natural or legal person accessing the Portal.

Corporate Member: A User engaged in commercial activities who has become a member of the Portal and benefits from the services offered on the Portal under the conditions set forth in this Membership Agreement.

Corporate Membership ("Membership"): The status obtained after a User wishing to become a Corporate Member completely and accurately fills out the Corporate Membership application form on the Portal and receives approval from PLASTKEY. Membership rights and obligations belong exclusively to the applicant and may not be transferred, in whole or in part, to any third party. No person shall acquire Corporate Member status until the membership process has been completed. PLASTKEY may reject any membership application without providing any reason or may require additional conditions. PLASTKEY may terminate the Membership status of any Corporate Member whenever deemed necessary and may refuse subsequent membership applications from a person whose Membership has previously been terminated.

Store: A PLASTKEY product that Corporate Members are required to purchase in order to conduct commercial activities on the Portal, enabling them to create, manage, and display their listings.

PLASTKEY Services ("Services"): The applications provided by PLASTKEY through the Portal to enable Members to carry out the transactions defined in this Membership Agreement. PLASTKEY reserves the right to modify or adapt its Services at any time. Any amendments or adaptations, together with the applicable rules and conditions, shall be announced through the Portal and shall become effective upon publication.

Content: Any information, text, files, images, videos, numerical data, visual, written, or audio materials published on and accessible through the Portal.

PLASTKEY Interface: The web pages protected under the Turkish Law on Intellectual and Artistic Works No. 5846, all intellectual property rights of which belong to PLASTKEY, enabling Users to view content created by PLASTKEY and Members and to query the PLASTKEY Database through the Portal.

PLASTKEY Database: The database owned by PLASTKEY, protected under the Turkish Law on Intellectual and Artistic Works No. 5846, in which the content available on the Portal is stored, categorized, queried, and accessed.

"My Account" Page: A page accessible only by the Corporate Member through a username and password, where the Member may use various applications and Services available on the Portal and enter commercial information, preferences, and other information requested by PLASTKEY.

Personal Data: Any information relating to an identified or identifiable natural person as defined under Article 3(d) of the Turkish Personal Data Protection Law No. 6698 ("KVKK"), including special categories of personal data specified under Article 6/1 thereof.

Special Categories of Personal Data: Personal data relating to race, ethnic origin, political opinion, philosophical belief, religion, sect or other beliefs, appearance and clothing, membership in associations, foundations or trade unions, health, sexual life, criminal convictions and security measures, biometric data, and genetic data.


3. Purpose and Scope of the Membership Agreement

The purpose of this Membership Agreement is to determine the services offered through the Portal, the conditions for benefiting from such services, and the rights and obligations of the parties.

This Agreement, its annexes, and all notices, announcements, practices, explanations, and other statements published by PLASTKEY concerning the use of the Portal, Membership, and Services constitute an integral part of this Agreement.

By accepting this Membership Agreement, the User agrees and undertakes to comply with all statements, rules, and conditions announced by PLASTKEY regarding the use of the Portal, Membership, and Services.


4. Becoming a Corporate Member

4.1 Store Owners

4.1.1

To become a Corporate Member, the applicant must engage in commercial activities. Where the applicant is a legal entity, the application must be submitted by a person duly authorized to represent and legally bind such legal entity. The applicant must not have been temporarily suspended, permanently banned, or otherwise prohibited from Membership under this Membership Agreement.

4.1.2

PLASTKEY may, at any time, without providing any reason, prior notice, compensation, penalty, or any other obligation, immediately terminate this Membership Agreement, terminate the Membership of a Corporate Member, or temporarily suspend such Membership.

Violations of the Portal rules or situations creating a risk to PLASTKEY's information security systems constitute grounds for termination or suspension of Membership.

4.1.3

A Corporate Member must open a Store in order to publish listings and benefit from the services provided by PLASTKEY.


5. Rights and Obligations of the Parties

5.1 Rights and Obligations of the Corporate Member

5.1.1

The Corporate Member agrees and undertakes to comply with the rules and statements published on the Portal, all applicable legislation, and generally accepted principles of morality, and acknowledges that it has read, understood, and accepted all provisions of this Membership Agreement together with all rules and conditions published on the Portal.

5.1.2

Where PLASTKEY is legally required to disclose information to competent public authorities, the Corporate Member acknowledges and agrees that PLASTKEY is authorized to disclose confidential, private, or commercial information belonging to the Corporate Member and that no compensation of any kind shall be claimed against PLASTKEY for such disclosure.

Furthermore, if PLASTKEY receives a notification alleging that a listing published by the Corporate Member infringes the rights of any person or institution, PLASTKEY may disclose the Corporate Member's name, trade name, sub-user information, and any necessary company information to the relevant claimant.

5.1.3

Corporate Members are solely responsible for maintaining the confidentiality and security of their usernames and passwords used to access their Membership Accounts. They shall ensure that such credentials are used exclusively by themselves and are not disclosed to third parties.

The Corporate Member shall be solely liable for any material or moral damages suffered by other Members, PLASTKEY, or third parties due to negligence or fault in safeguarding such credentials.

5.1.4

The Corporate Member represents and warrants that all information and content uploaded to the Portal is accurate, lawful, and does not violate any applicable legislation.

PLASTKEY shall have no obligation to verify the accuracy or legality of such information or content and shall not be liable for any damages arising from inaccurate, incomplete, misleading, or unlawful content uploaded by the Corporate Member.

5.1.5

The Corporate Member may not assign or transfer, in whole or in part, this Membership Agreement or any rights and obligations arising herefrom to any third party without the prior written consent of PLASTKEY.

5.1.6

The Corporate Member may use the Portal only for lawful purposes.

The Corporate Member shall bear sole legal and criminal responsibility for all activities carried out through the Portal.

The Corporate Member agrees not to reproduce, copy, distribute, process, transfer to another database, upload, or otherwise exploit any images, texts, audio-visual materials, video clips, files, databases, catalogues, or lists available on the Portal in a manner that infringes the property rights, intellectual property rights, personal rights, personal data, or assets of PLASTKEY or any third party.

The Corporate Member further agrees not to compete directly or indirectly with PLASTKEY through such activities or by any other means.

PLASTKEY shall not be held directly or indirectly liable for any damages suffered by third parties as a result of unlawful activities carried out by the Corporate Member.

5.1.7

PLASTKEY permits Corporate Members to access listings and use the PLASTKEY Interface solely for the purpose of viewing listing content.

Except for this limited purpose, accessing a substantial part or all of the database, copying listings in whole or in part, publishing them elsewhere, compiling, processing, transferring them to another database, making them available to third parties, providing links to listings, or engaging in any similar activity is strictly prohibited.

Such acts constitute unlawful use, and PLASTKEY reserves all legal rights, including claims for damages and legal proceedings.


5.2 Rights and Obligations of PLASTKEY

5.2.1

PLASTKEY undertakes to provide the Services referred to in this Membership Agreement under the conditions specified herein and described on the Portal and to establish and maintain the technological infrastructure necessary for providing such Services.

However, this obligation shall not be construed as a commitment to provide uninterrupted or unlimited service.

PLASTKEY may suspend or terminate any Service or the underlying technological infrastructure at any time without prior notice.

5.2.2

In addition to the purposes specified in this Membership Agreement, PLASTKEY may use information collected during Corporate Membership registration—including the Member's name, trade name, telephone number, email address, address, and business type—for communication, promotional activities, research, marketing, statistical analysis, database creation, market research, and process improvement, provided that such processing complies with applicable legislation and, where required, the necessary consents are obtained.

Such information may also be transferred to and processed by companies cooperating with PLASTKEY.

5.2.3

PLASTKEY may provide links to third-party websites, portals, files, or content.

Such links may be provided by Corporate Members or by PLASTKEY solely for convenience and shall not constitute any endorsement, verification, warranty, or guarantee regarding the linked websites, their operators, products, services, or content.

PLASTKEY assumes no responsibility whatsoever for any third-party websites or services accessible through such links.

5.2.4

PLASTKEY reserves the right to remove, at any time and without prior notice, any messages or content that violate the operation of the Portal, applicable laws, the rights of third parties, the provisions of this Membership Agreement, personal data protection legislation, or public morality.

PLASTKEY may also terminate the Membership of the Member responsible for such content without prior notice.

5.2.5

PLASTKEY may process and share Corporate Member information for promotional, marketing, research, communication, and analytical purposes under the same conditions described in Article 5.2.2.

5.2.6

PLASTKEY may display advertisements for itself or its customers in any advertising space on the Portal, including listing pages.

5.2.7

PLASTKEY, its employees, and its managers shall have no obligation to investigate or verify the legality, authenticity, or accuracy of content provided by Members or Users through the Portal.

5.2.8

PLASTKEY operates as a Hosting Provider (Yer Sağlayıcı) pursuant to Law No. 5651 on the Regulation of Publications on the Internet and Combating Crimes Committed Through Such Publications, in accordance with the Information and Communication Technologies Authority's letter dated 17 January 2013 and numbered 581.

6. Privacy Policy

6.1

PLASTKEY may use information relating to Corporate Members within the scope of this Membership Agreement and Appendix-2 (Privacy Policy), which forms an integral and inseparable part of this Agreement. PLASTKEY may disclose or use confidential information belonging to Corporate Members only under the conditions specified in the Privacy Policy.

The Corporate Member acknowledges, represents, and undertakes that, where acting as a Buyer in relation to a listing, the Member shall log in to their account in order to communicate with the Seller and agrees that their telephone number may be shared with the Seller for this purpose.

6.2

Any data entered into the Portal by the Member that may constitute personal data shall be collected and processed by PLASTKEY within the scope of this Membership Agreement for the operation of the Portal, the provision of its functions, services, content, and the purposes specified herein.

PLASTKEY reserves the right to amend its Personal Data Protection Policy, as well as any other policies, procedures, contractual provisions, or terms of use relating to personal data, at any time. Such amendments shall become effective immediately upon publication on the Portal.

The Member is responsible for monitoring such amendments and shall have no right to make any claim or seek compensation from PLASTKEY in connection with such amendments.

6.3

The Member shall use any information accessed through the Portal solely for the purposes for which such information has been disclosed by another Member or by PLASTKEY.

The Member further acknowledges, represents, and undertakes that they are solely responsible for the protection, processing, transfer, and any other handling of personal data belonging to Users or third parties obtained through the Portal, including full compliance with the Turkish Personal Data Protection Law (Law No. 6698 – KVKK).

The Member acknowledges that PLASTKEY shall have no obligations or liabilities under the KVKK with respect to any personal data other than the personal data that PLASTKEY is legally required to collect through its own systems for the operation of the website.

Should the Member violate their obligations regarding the protection of personal data, unlawfully process, transfer, or otherwise handle personal data, and such actions result in a decision by the Personal Data Protection Board, administrative authorities, or courts causing PLASTKEY to suffer any loss, damage, administrative fine, or legal liability, the Member irrevocably undertakes to indemnify PLASTKEY in full, in cash, and upon first written demand.

6.4

Where the Member is a natural person residing in a Member State of the European Union, the Member acknowledges, represents, and undertakes that the processing of their personal data shall be governed exclusively by the Turkish Personal Data Protection Law No. 6698 (KVKK), its secondary legislation, and the decisions and regulations of the Turkish Personal Data Protection Board.

The Member further agrees that Turkish domestic law shall apply to all legal disputes without reference to any conflict-of-law rules, that Directive 95/46/EC and the European Union General Data Protection Regulation (GDPR) shall not apply, and irrevocably waives any right to invoke the conflict-of-law provisions under the Turkish Act on Private International and Procedural Law.

6.5

The Member acknowledges that personal data made publicly available through their PLASTKEY Membership and/or published listings may be indexed, stored, processed, and displayed by Google or other search engines and similar indexing systems.

The Member further acknowledges that PLASTKEY has no involvement in, contribution to, or responsibility for such indexing activities and shall not be liable for any processing, storage, transfer, or indexing of publicly available personal data carried out by search engines or similar systems.

The Member agrees that any requests concerning such indexed personal data shall be directed to the relevant data controllers, including but not limited to Google, other search engines, indexing services, or any natural or legal persons operating such systems.

6.6

If the Member voluntarily publishes any Special Categories of Personal Data (Sensitive Personal Data) through the PLASTKEY Portal, whether by posting a listing or for any other reason, the Member acknowledges, represents, and undertakes that:

  • such sensitive personal data has been made publicly available by the Member's own action;

  • PLASTKEY may use, process, or transfer such publicly disclosed sensitive personal data solely to the extent consistent with the purpose for which it was made public; and

  • the Member understands and accepts that such processing activities shall not constitute a violation of applicable law.


7. Intellectual Property Rights

Members shall not sell, process, distribute, publish, display, share, or otherwise make available any PLASTKEY Services, PLASTKEY information, or any works protected by PLASTKEY's intellectual property rights, nor permit any third party to access or use such materials.

Except where expressly authorized under these Membership Terms, Members may not reproduce, modify, distribute, or create derivative works based upon any copyrighted works belonging to PLASTKEY.


8. Amendments to the Membership Agreement

PLASTKEY reserves the right, at its sole discretion, to amend this Membership Agreement at any time by publishing the amended version on the Portal.

Any amended provisions shall become effective on the date of publication on the Portal. All remaining provisions shall remain in full force and effect.

This Membership Agreement may not be amended by unilateral declarations of the Member.


9. Force Majeure

PLASTKEY shall not be liable for any delay, partial performance, or non-performance of its obligations under this Membership Agreement where such failure results from events recognized by law as force majeure.

Such circumstances shall not constitute default by PLASTKEY, and no compensation of any kind may be claimed against PLASTKEY on such grounds.

Force majeure includes, but is not limited to, natural disasters, riots, wars, strikes, communication failures, infrastructure or internet outages, maintenance, repair or upgrade works affecting the system, power failures, adverse weather conditions, and any other events beyond the reasonable control of PLASTKEY which could not have been prevented despite exercising reasonable care.


10. Governing Law and Jurisdiction

This Membership Agreement shall be governed by and construed in accordance with the laws of the Republic of Türkiye, excluding Turkish conflict-of-law rules, in the event that a foreign element exists in the legal relationship arising under this Agreement.

Any dispute arising out of or in connection with this Membership Agreement shall be subject to the exclusive jurisdiction of the Istanbul Central (Çağlayan) Courts and Enforcement Offices, Türkiye.

11. Validity of PLASTKEY Records

The Member acknowledges, represents, and undertakes that, in the event of any dispute arising out of this Membership Agreement, the electronic records, system records, databases, server records, commercial records, books of account, microfilm, microfiche, and computer records maintained by PLASTKEY shall constitute valid, binding, conclusive, and exclusive evidence.

The Member further agrees that this provision constitutes an evidence agreement within the meaning of Article 193 of the Turkish Code of Civil Procedure (Law No. 6100) and waives the right to challenge such records or require PLASTKEY to prove their authenticity by any other means.


12. Entry into Force

This Membership Agreement, together with all annexes referred to herein and forming an integral part hereof, as well as all rules and conditions published on the Portal, shall enter into force electronically upon the Member's acceptance.

Should any provision of this Membership Agreement become invalid, unlawful, or unenforceable, such invalidity shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.


13. Termination of the Agreement

13.1 Right of Withdrawal

Pursuant to Article 269 of the Turkish Code of Obligations, Corporate Members shall have the right of withdrawal.

Accordingly, if a Corporate Member submits a written request to terminate their membership by sending an email to info@plastkey.com within seven (7) days from the commencement of the Membership, PLASTKEY shall terminate the Membership and refund all fees paid by the Member within 2 to 8 business days.


14. Payment System

Corporate Members benefiting from the Membership Services undertake to pay the applicable service fees through the website by credit card or bank transfer (EFT/Wire Transfer).


15. Featured Listing ("Doping") Services

15.1

Members may purchase paid promotional services ("Doping") offered by PLASTKEY in order to increase the visibility of their listings, improve their visual presentation, and enable Portal users to locate such listings more easily.

15.2

Through these Services, Members may display their listings differently from standard listings within search results and listing pages.

Where one or more promotional services are selected by the Member while creating a listing, that listing shall be displayed according to the features of the selected promotional service(s).

A promotional service is linked exclusively to the listing for which it has been purchased and may not be transferred to another listing before or after its expiration.

If the promotional service cannot be displayed due to page errors or database issues attributable to PLASTKEY, the duration of the promotional service shall be extended by a period equal to the interruption.

15.3

The content, scope, and pricing of promotional services shall be determined solely by PLASTKEY.

PLASTKEY reserves the right to amend such services and their prices at any time, provided that such amendments are announced on the Portal.

If a Member voluntarily removes a listing or if PLASTKEY removes a listing due to a violation of Portal rules, any promotional service attached to that listing shall also be terminated and no refund shall be provided.

15.4 Complimentary Promotional Services

Where complimentary promotional services have been granted to a Member free of charge, and the Member requests closure of the Store or the Store is terminated by PLASTKEY due to violations of Portal rules, the value of any complimentary promotional services already used shall be calculated at the applicable unit price in force on the date of termination.

Such amount shall be deducted from any refundable Store fee before the remaining balance is refunded.

15.5

Members wishing to purchase promotional services may submit their request by email to info@plastkey.com.

The promotional service shall commence only upon PLASTKEY's approval.


16. Severability

If any provision of this Agreement is held to be invalid or unenforceable by any competent judicial authority, such invalidity shall not affect the remaining provisions, all of which shall remain valid and enforceable to the fullest extent permitted by law.


17. Language

This Agreement has been executed in the Turkish language.

In the event of any inconsistency, discrepancy, or conflict between the Turkish version and any translation thereof, the Turkish version shall prevail.


18. Limitation of Liability

PLASTKEY does not guarantee the accuracy, completeness, or reliability of any content generated through data provided by third parties on the Portal.

Under no circumstances shall PLASTKEY be deemed to provide recommendations, advice, or endorsements regarding such content.

PLASTKEY makes no warranties regarding the quality, characteristics, suitability, or safety of products or services offered by third parties.

Any warranties, representations, guarantees, or commitments relating to third-party products or services—including consistency, accuracy, adequacy, completeness, continuity, or reliability—shall exist solely between the relevant third party and the User.

All content provided through PLASTKEY is offered solely as an intermediary platform. Responsibility for the accuracy and validity of such content rests entirely with the third party publishing it.

Members shall bear full legal responsibility for all content they publish through the Portal.

Information displayed within advertising areas shall under no circumstances be construed as advice, recommendations, or endorsements by PLASTKEY.

PLASTKEY does not guarantee the accuracy of any information published within advertising sections.

Prices and other commercial information supplied by third parties are displayed based on updates provided by those third parties. PLASTKEY shall not be responsible for any discrepancies or inaccuracies arising therefrom.

PLASTKEY shall not be liable for any losses or damages resulting from technical failures, interruptions in data transmission, or similar system malfunctions unless such damage is directly attributable to the fault or negligence of Uysar Medya Yazılım Ltd. Şti.
